NextDC Limited (ASX: NXT) shares attracted significant investor attention on Thursday, 5 November 2026, after Goodman Group and US-based Digital Realty moved to acquire a substantial stake in the Australian data centre operator.

The two companies offered to purchase up to 9.9% of NextDC at $9.50 per share through an aftermarket book build conducted on 4 November. The offer represented a 45.5% premium to NextDC's previous closing price of $6.53.

NextDC shares subsequently surged more than 50%, reaching $9.85 during Thursday's trading session. The announcement marked a major turnaround for the stock, which had suffered a sharp decline following its October earnings downgrade.

However, the latest development has raised an important question: is the transaction simply a strategic investment, or could it be the beginning of a larger takeover battle?

Why Did NextDC Shares Surge More Than 50%?

The immediate catalyst was the share purchase initiated by Ackland Investments, a vehicle jointly owned by Goodman Group and Digital Realty.

The investment vehicle sought to acquire up to 9.9% of NextDC's ordinary shares at $9.50 each.

The key details of the transaction include:

  • Offer price: $9.50 per share.

  • Previous closing price: $6.53.

  • Premium: 45.5%.

  • Maximum targeted holding: 9.9%.

  • Estimated transaction value: Approximately A$715 million.

The premium offered to investors provided a significantly higher reference price than NextDC's previous market valuation.

The announcement also attracted attention because it came after a difficult period for NextDC shareholders. The company's shares had fallen sharply following concerns about delays to its Melbourne data centre development and the resulting reduction in earnings guidance.

The latest development therefore introduced a potential strategic buyer into the investment story at a time when confidence in the company had weakened.

What Triggered NextDC's October Sell-Off?

To understand the significance of the latest share purchase, investors need to consider NextDC's announcement on 21 October 2026.

The company disclosed delays affecting electricity infrastructure upgrades for its M3 Melbourne data centre project.

The delays were expected to defer approximately A$140 million in contracted customer revenue during the financial year.

Following the announcement, NextDC reduced its FY27 underlying EBITDA guidance from $385–410 million to $245–265 million.

The company also announced that it would pause new development projects and land acquisitions for the foreseeable future while reviewing its development and capital requirements.

The announcement triggered a sharp market reaction, with NextDC shares falling approximately 42% on 21 October.

The subsequent share purchase by Goodman Group and Digital Realty came less than two weeks after this significant decline.

Why Are Goodman Group and Digital Realty Interested?

Goodman Group and Digital Realty are established participants in the property and data centre industries.

Their proposed investment gives them an opportunity to increase their exposure to Australia's data centre market through NextDC.

The transaction is particularly significant because it involves two industry participants rather than traditional financial investors.

However, investors should distinguish between acquiring a strategic shareholding and pursuing a full takeover.

In their communication to investors, Goodman Group and Digital Realty stated that they had no current intention of submitting a control proposal or making a takeover bid for NextDC.

They also reserved the right to change their position if circumstances change.

This means the latest transaction does not confirm an acquisition, although it leaves open the possibility of further corporate activity.

What Has NextDC's Board Said?

NextDC described the move as opportunistic, pointing to the timing of the transaction following its recent earnings downgrade.

The company confirmed that its board had not received a takeover proposal.

It also stated that any genuine takeover approach would be considered on its merits and in the best interests of all NextDC shareholders.

NextDC has appointed Barrenjoey Advisory and UBS Securities Australia as joint lead financial advisers, alongside Cadence Advisory as independent financial adviser. King & Wood Mallesons is acting as legal adviser.

The company also indicated that shareholders did not need to take any action following the announcement.

What Happens Next for NextDC Shares?

There are several developments investors will be watching.

1. Will Goodman and Digital Realty pursue a full takeover?

The first question is whether the two companies eventually move beyond their targeted 9.9% holding.

Although they have stated that they do not currently intend to pursue control, their investment could give them a strategic position in NextDC.

Any change in their stated intentions would be an important development for shareholders.

2. Could another buyer emerge?

The latest transaction could also attract attention from other companies interested in Australia's data centre infrastructure.

Blackstone, Brookfield and KKR have been mentioned in market reporting as potential industry participants to watch, although no competing takeover proposal has been confirmed.

Investors should distinguish between potential buyer speculation and an actual offer.

3. Can NextDC resolve its Melbourne project delays?

The operational outlook remains central to the company's valuation.

Investors will be monitoring progress at the M3 Melbourne project, particularly the electricity infrastructure issues that contributed to the earnings downgrade.

The revised FY27 underlying EBITDA guidance of $245–265 million will also remain an important reference point.

4. Will NextDC pursue capital recycling?

The company has indicated that it is evaluating capital-recycling opportunities, including potential sales of selected development sites.

Such measures could become important as NextDC manages its financial position and development commitments.

The Bottom Line

NextDC shares surged more than 50% after Goodman Group and Digital Realty sought to acquire up to 9.9% of the company at $9.50 per share.

The 45.5% premium to the previous closing price has renewed investor interest and introduced the possibility of further corporate activity.

However, no full takeover proposal has been received, and the two investors have stated that they do not currently intend to pursue control.

For investors, the next important developments will be the intentions of Goodman and Digital Realty, progress at the M3 Melbourne project and NextDC's ability to deliver its revised earnings expectations.
