NextDC and CSL both announced significant board changes on Monday. The moves address recent challenges and set up leadership transitions at two major ASX companies.

NextDC Board Renewal

NextDC responded to investor disappointment after last week’s M3 Melbourne power delay and the associated cut to FY27 guidance.

Net revenue guidance was lowered to $475–500 million from $615–640 million. Underlying EBITDA guidance was cut to $245–265 million from $385–410 million. The delay deferred about $140 million of contracted customer revenue.

Chairman Douglas Flynn will stand for re-election but retire once a successor is appointed after a short handover. Director Stuart Davis will also stand for re-election but intends to step down once new directors are in place.

The board has expanded Spencer Stuart’s search mandate to identify both a new Chair and an additional independent non-executive director. The focus is on candidates with data centre, energy, infrastructure and capital management experience. Appointments are targeted for the first quarter of calendar 2027.

CEO Craig Scroggie has agreed to forgo his entire FY27 short-term and long-term incentive opportunities. The board withdrew the related AGM resolution as well as a proposed increase in the non-executive director fee pool. Incumbent non-executive directors will take an immediate voluntary 10% fee reduction.

The AGM is scheduled for 20 November.

CSL Leadership Transition

CSL announced that long-serving Chair Dr Brian McNamee AO will retire from the board on 31 March 2027. The board has unanimously elected current interim CEO Gordon Naylor as his successor, effective the same date.

Naylor will remain interim CEO and Managing Director until 1 February 2027, when newly appointed permanent CEO Deborah Waterhouse begins. After an orderly transition, Naylor will return to the board as a non-executive director and Chair Elect.

Carolyn Hewson AO has been appointed Senior Independent Director from 31 March 2027. This recognises that Naylor will not initially be considered independent due to his recent executive role.

McNamee served as CEO from 1990 to 2013 and has been Chair since 2018. The board highlighted his long contribution to the company.

What Shareholders Should Note

Both companies are refreshing board oversight at a time of operational pressure. NextDC is addressing the fallout from the Melbourne power delay. CSL is managing a planned leadership handover from interim arrangements to a permanent CEO while securing board continuity.
