Australian Strategic Materials shares jumped on Wednesday after Energy Fuels agreed to acquire the company in a deal that highlights the rising strategic importance and growing global demand for rare earth assets outside China.

Australian Strategic Materials Limited (ASX: ASM)

announced on Wednesday that it has entered into a scheme implementation deed under which Energy Fuels Inc has agreed to acquire 100% of the company for an implied value of $1.60 per ASM share.

The proposed consideration includes Energy Fuels shares or CHESS Depositary Interests along with an unfranked special dividend of up to 13 cents per ASM share.
The takeover represented a premium of over 100% to the closing price of Tuesday.
ASM’s flagship Dubbo Project located in New South Wales contains a significant and long-life resource of light and heavy rare earths hosted within a unique ore body.

The mineralisation includes bastnaesite mineralogy and zirconosilicates and is supported by an initial mine life of 20 years.
Energy Fuels is listed on both the NYSE and TSX and plans to pursue an ASX listing following completion of the transaction which will allow ASM shareholders to retain liquidity and exposure to the enlarged group.

The scheme remains subject to approval by at least 75% of votes cast at a shareholder meeting along with regulatory and court approvals and ASM has indicated it is targeting completion by the end of June 2026 subject to all conditions being met.
