IPX Proposes US Redomiciliation Alongside Operational Execution

IperionX Limited (ASX: IPX) has announced on 3 August 2026 that the company intends to redomicile its ultimate parent company to Texas, subject to approval by shareholders, the court, regulatory, and other customary approvals. The company aims to align the company's legal and capital-markets structure with its integrated US manufacturing, critical minerals, and technology operations. IPX is planning to replace its current Nasdaq ADS structure with a direct listing of common shares.

The proposed redomiciliation does not impact the company’s underlying assets, operations, or strategic priorities. The company is developing an integrated U.S. platform extending from domestic titanium minerals and recycled titanium feedstocks through low-cost titanium metal production to advanced manufactured products and components.

The company’s US operating platform comprises the integrated Atlas-Titan critical mineral platform in Tennessee, titanium metal production and advanced manufacturing in Virginia, and titanium technology research and development in Utah.

The proposed redomiciliation would align IPX’s legal domicile and capital market structure with its US operating assets, US-backed workforce and management activities, US customers and strategic industrial relationships, extensive US government-supported programs, and strategic objective to rebuild secure American titanium and critical materials supply chains. It will also help broaden IPX’s addressable investor base and deepen trading liquidity and price discovery. This will allow the company to simplify participation by strategic and sector-specialist investors and to enhance access to larger and more diverse pools of US growth capital.

IPX had announced on 30 July 2026 its quarterly report for the period ended on June 2026, stating that its Virginia operations continued on a 24/7 titanium-powered production during the quarter, with HAMRTM systems consistently meeting or exceeding grade 5 quality parameters, and it has also confirmed the ability to successfully commercialize HAMRTM as a breakthrough process for the production of primary titanium metal. The production volumes during the quarter were temporarily reduced by furnace downtime and maintenance, with operations subsequently returning to regular ramp-up cadence. IPX stated that this downtime did not affect the availability of titanium powder for downstream production activities.

Customer development also increases as the company continues progress in prototyping and testing for the US Army, Carver Pump, Ford, etc. across defense, aerospace, automotive, customer electronics, and industrial markets. The company also completed the Titan Definitive Feasibility Study supported by the US government, delivering an after-tax NPV8 of US$818M, an after-tax IRR of 39.4%, an after-tax payback of 3.6 years, and tax-free cash flow of US$196B over the initial 14-year mine plan. IPX entered into a US$3M agreement in June to acquire critical mineral property and assets, which will be completed subsequent to quarter end on 1 July 2026.

Outlook

IPX is targeting scaling its integrated US titanium platform with a 200tpa production run rate by the end of CY26. It is also progressing its government-backed 1,400 tpa manufacturing expansion and developing its next-generation GenXβ„’ continuing HAMRβ„’ technology to improve production and cost efficiency.
